B2B: business-to-business transactions

B2B means business-to-business transactions. Legal consequences depend on the actual parties and purpose of the transaction. A company address or business-looking email is not sufficient evidence by itself.

Distinguish the concepts

A sole trader may act professionally or buy something for a private household. The same person does not have the same legal status in every transaction. An invoice addressed to a company contact does not establish that the company itself contracted. Record the business name, legal form and actual ordering party clearly.

Jurisdiction and scope

Austria and Germany have their own legal distinctions. They may affect interest, lump sums, contract terms and jurisdiction. Germany’s higher statutory default-interest rule for payment claims specifically requires the absence of consumer involvement. Do not automatically apply a software setting for B2B transactions to private customers.

Illustrative business example

A designer buys a computer in circumstances involving professional use. Before recovery, the seller checks the order and agreed purpose instead of copying the VAT identifier alone. The case retains the contractual records. Uncertainty is disclosed for assessment rather than hidden behind an arbitrary classification.

Common questions

Is a VAT identifier decisive?

It may be evidence but does not replace assessment of the actual parties and transaction.

Does B2B automatically mean higher interest?

Only where the applicable rule’s conditions are met. Default, claim type and any agreement still matter.

What should the handover contain?

Contracting parties, order, invoice, performance evidence and relevant information about purpose. Do not reclassify a transaction merely to obtain different cost treatment.
