Liability for unpaid claims
Liability is legal responsibility for an obligation or loss. For unpaid invoices, identify the contracting party and specific basis for payment first. An economic connection to a business alone is insufficient.
Distinguish the concepts
A company, its directors and its shareholders are not interchangeable debtors. Ordering, corresponding or receiving delivery does not automatically create personal liability. Guarantees, sureties or particular breaches may raise separate issues, but their wording and legal conditions require assessment.
Jurisdiction and scope
Austria and Germany apply their own contractual, damages and company-law rules. Non-payment does not itself establish director liability. A service provider’s responsibilities are also distinct from the debtor’s financial capacity. A collection instruction is not a general guarantee of economic success.
Illustrative business example
A limited company does not pay for goods. The supplier identifies its director in a register and considers changing the invoice to that person. Instead, it reconciles the contract and invoice and separately checks for a personal security or another basis. Without supporting grounds, the correct company remains the recorded debtor.
Common questions
Does every director owe the company’s debts?
Not merely because of the role. Personal liability needs an independent basis.
Is collection a payment guarantee?
No. Contractual duties and actual recovery differ; the agreed scope and circumstances matter.
Which evidence helps?
Correct parties, authority, valid securities and facts supporting any alleged breach. Do not submit assumptions as established facts.
